Welcome to Franc.li. These Terms of Service ("Terms") govern your use of our website, text-based crisis support services, and any related applications or platforms (collectively, the "Services") operated by Way Shape Form, Inc. ("we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Services.

Our Services are designed to provide immediate mental health support. You agree to use our Services only for their intended purposes and in accordance with these Terms and any applicable laws or regulations.

You may not:

• Use our Services in any way that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Services
• Use any robot, spider, or other automatic device, process, or means to access our Services for any purpose
• Introduce any viruses, Trojan horses, worms, logic bombs, or other harmful material to our Services
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of our Services
• Use our Services to harass, abuse, or harm another person, or in a way that promotes discrimination, bigotry, racism, or harm

The Service and its original content, features, and functionality are and will remain the exclusive property of Franc.li and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our name, logos, and related marks are trademarks of Franc.li. You may not use such marks without our prior written permission.

When you engage with our crisis support services, you may provide information ("User Content") to our licensed clinicians. You retain all rights to your User Content, but you grant us a license to use this content solely for the purpose of providing our Services to you.

You represent and warrant that:

• You own or control all rights to the User Content you provide
• The User Content is accurate and not misleading
• The User Content does not violate these Terms or any applicable law or regulation

Our text-based crisis support services are provided by licensed mental health professionals. However, these services:

• Are not a substitute for emergency services. If you are experiencing a medical emergency, are in danger, or are having thoughts of harming yourself or others, please call 911 or your local emergency number immediately
• Do not establish an ongoing therapeutic relationship unless explicitly agreed upon
• May involve limited confidentiality in cases where there is a risk of harm to yourself or others

By using our crisis support services, you acknowledge these limitations and agree to seek appropriate emergency care when necessary.

Your use of our Services is at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied.

We do not warrant that:

• The Services will meet your specific requirements
• The Services will be uninterrupted, timely, secure, or error-free
• The results that may be obtained from the use of the Services will be accurate or reliable

You acknowledge that we do not guarantee specific outcomes from using our mental health support services, and results may vary based on individual circumstances.

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your access to or use of, or inability to access or use, the Services.

In no event shall our total liability to you for all claims exceed the amount you paid to us, if any, for accessing or using the Services during the twelve (12) months prior to bringing the claim.

You agree to defend, indemnify, and hold us harmless from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Any legal action or proceeding relating to your access to or use of the Services shall be instituted in federal or state courts located in Miami-Dade County, Florida. You agree to submit to the jurisdiction of, and agree that venue is proper in, these courts.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
